A Clear License for Installing and Operating DeskGate Software

This End User License Agreement governs DeskGate software obtained under an authorized order. The software is licensed, not sold. Installation or use confirms acceptance by the licensed organization.

License Grant

Subject to payment and compliance, DeskGate grants the customer a limited, non-exclusive, non-transferable license to install and use the purchased software for its internal business operations during the authorized license period and within the quantities, modules, companies, endpoints, administrators, or other scope stated in the order.

The customer may make reasonable backup copies where technically and legally necessary, provided all notices remain intact and copies are protected against unauthorized use. Affiliates, contractors, dealers, or managed customers may use the software only where the order expressly permits that structure and the customer remains responsible for compliance.

License Boundaries

You may

Install authorized components, configure approved modules, operate purchased scope, create backups, and allow trained authorized users to administer the environment.

You may not

Sell, sublicense, rent, publish, circumvent licensing, remove notices, provide unauthorized hosted access, or use the software beyond purchased scope.

You must protect

License keys, credentials, installers, databases, documentation, confidential technology, exported information, and administrative access.

Restrictions and technical protection

Except where mandatory law expressly permits and cannot be waived, you may not reverse engineer, decompile, disassemble, modify, translate, derive source code, create derivative products, defeat security or licensing controls, or benchmark for publication without written permission. You may not use DeskGate to develop or assist a competing product. Interoperability requests should be directed to DeskGate before attempting restricted activity.

Ownership, third-party components, and feedback

DeskGate and its licensors own the software, architecture, interfaces, documentation, updates, trademarks, and all related intellectual-property rights. Third-party components may be governed by accompanying notices or licenses, which apply to those components. Suggestions may be used to improve products without payment or restriction, while confidential customer information remains protected under applicable agreements.

Updates, support, and environment

Access to updates, new versions, technical support, and service levels depends on the purchased plan or order. The customer is responsible for supported infrastructure, SQL Server, network configuration, endpoint compatibility, backups, recovery testing, security, administrator training, and deployment validation. Software behavior may depend on operating-system, database, network, security, and third-party changes outside DeskGate’s control.

Data and lawful operation

The customer controls its self-hosted data and determines purposes, legal bases, notices, permissions, retention, employee rights, and endpoint authorization. The customer must not use monitoring, remote access, files, commands, scripts, deployment, or protection functions unlawfully or secretly where notice or authorization is required. DeskGate may provide technical assistance but does not become the employer or determine lawful monitoring scope.

Termination and effect

The license ends when its period expires or may be terminated for uncured material breach according to the applicable agreement. On termination, use must stop and software and license materials must be removed, except for legally required records or backups retained under controlled deletion cycles. Confidentiality, ownership, restrictions, accrued payment, disclaimers, liability, and dispute provisions survive as appropriate.

Warranty and liability

Express warranties, remedies, liability caps, governing law, and venue are those in the signed agreement or order. Where no specific term exists, mandatory law controls. Nothing excludes liability that cannot legally be excluded. The customer must test configuration and maintain backups; DeskGate does not warrant that every configuration will meet every legal or operational requirement.

License Administration and Verification

The customer should maintain records of authorized entities, administrators, endpoints, modules, installation packages, versions, license keys, renewal dates, and decommissioned systems. DeskGate may request reasonable information needed to verify licensed scope, resolve activation problems, protect against misuse, or perform an audit under applicable commercial terms. Verification should minimize operational disruption and protect confidential information.

License credentials and customer-specific installers must not be published, shared across unrelated organizations, or stored in unsecured public repositories. If a dealer or managed service provider is authorized to create customer packages, it must ensure that each package is delivered only to the intended customer and places devices within the correct organizational boundary. Suspected leakage or unauthorized activation must be reported promptly.

The customer may permit contractors to administer the software only for the customer’s benefit, within purchased scope, under confidentiality and security duties at least as protective as its own, and with appropriate supervision. The customer remains responsible for contractor actions. Transfers resulting from merger, reorganization, outsourcing, or sale require compliance with assignment terms and may require written approval or a replacement order. Evaluation, demonstration, beta, or preview software may carry narrower scope, limited duration, and no production-use authorization as stated when supplied.
