End User License Agreement (EULA)

PLEASE READ THIS END USER LICENSE AGREEMENT (“EULA”) CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE.

This End User License Agreement (“EULA”) is a legally binding agreement between you (“Licensee”, “you”) and DeskGate LLC (“Licensor”, “we”, “us”) governing the licensing and use of the software products, including all related components, modules, documentation, media, and updates (collectively, the “Product”).

By installing, copying, downloading, accessing, or otherwise using the Product, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree, you must not install or use the Product and must remove all copies in your possession.

1. License Grant

Subject to the terms of this EULA, the Licensor grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to install and use the Product for its intended purposes.

1.1 Private (Non-Commercial) Use

Private use refers to non-commercial use for which no direct or indirect compensation is received. The Product may be installed on personal computers and used for individual purposes, limited to one active session per installation.

1.2 Evaluation / Trial Use

Evaluation or trial versions may be used solely for testing purposes and may be time or function limited, modified, or discontinued at any time.

1.3 Commercial Use

Commercial use is licensed on a Named User basis. Credentials are individual and may not be shared.

Access the Product from authorized devices
Establish multiple remote connections
Participate in collaborative sessions where permitted

Each operating system instance, including virtual machines, is considered a separate installation. Additional users require additional licenses.

2. Support Services

Support services, including updates, patches, or technical assistance, may be provided at the Licensor’s discretion and may require a separate agreement.

3. Beta Versions

Beta or pre-release versions are provided “AS IS” and may contain errors. You acknowledge the risks and agree to provide feedback if requested.

Any feedback may be used, modified, and incorporated without restriction or compensation.

4. Restrictions

Modify, translate, or create derivative works
Reverse engineer or decompile except as permitted by law
Bypass license enforcement or protection mechanisms
Use the Product unlawfully or without authorization

5. Intellectual Property

The Product is licensed, not sold. All intellectual property rights remain the exclusive property of the Licensor or its licensors.

6. Data Protection and Privacy

Personal data is processed solely for license management, authentication, support, and secure operation. The Licensor does not sell personal data or use it for advertising purposes.

7. Updates and Technical Protection

The Product may communicate to validate licensing, deliver updates, or enforce license terms using technical protection mechanisms.

8. Termination

This EULA remains effective until terminated. Upon breach, all use of the Product must cease immediately.

9. Warranty Disclaimer

The Product is provided “AS IS” without warranties of any kind.

10. Limitation of Liability

To the maximum extent permitted by law, the Licensor is not liable for indirect or consequential damages.

11. Indemnification

You agree to indemnify and hold harmless the Licensor from claims arising from misuse or violation of this EULA.

12. Entire Agreement

This EULA constitutes the entire agreement and supersedes all prior understandings.
